By accessing or using Kokoro's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all users of the platform.

2. Description of Service

Kokoro provides an AI-powered character companion platform where users can interact with AI characters in various story worlds. Key features include:

• AI character interactions and conversations
• Story worlds with branching narratives
• Memory systems that allow AI characters to recall past interactions
• Token-based content unlocks
• Subscription services for premium features

3. AI Disclosure

You acknowledge and agree that:

• All characters on Kokoro are AI-powered and are not real persons
• Conversations are generated by artificial intelligence systems
• Kokoro is transparent about the AI nature of characters
• AI characters may provide inaccurate or fictional information

4. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

5. Acceptable Use

You agree NOT to use our services to:

• Generate content that is illegal, harmful, or offensive
• Harass, abuse, or threaten other users or AI characters
• Impersonate any person or entity
• Attempt to extract or reverse engineer AI conversations
• Use automated tools to access the service without permission
• Violate any intellectual property rights
• Engage in any activity that interferes with or disrupts the service

6. Subscription Services (V1)

We offer subscription plans for premium features. Current plans and pricing are available at /pricing.

6.1 Auto-Renewal Authorization

By providing a payment method and subscribing to a paid plan, you authorize Kokoro to automatically charge your payment method on a recurring basis at the beginning of each billing cycle. This authorization remains in effect until you cancel your subscription.

6.2 Subscription Cancellation

You may cancel your subscription at any time through your account settings or by emailing cancel@kokoro.ai from your registered email. Cancellation takes effect immediately. You will retain access until the end of the current billing period.

6.3 Refunds

Due to the immediate delivery nature of digital services, subscription fees are generally non-refundable, except:

• 7-Day Guarantee: First-time subscribers may request a full refund within 7 days of initial purchase if usage does not exceed 20% of the plan quota.
• Duplicate Charges: Full refund for billing errors.
• Verified Service Outage: Pro-rated refund or credit for service interruptions exceeding 72 hours.
• Legal Rights: Refund rights under applicable law (e.g., EU 14-day cooling-off period) are preserved.

7. AI Content and Intellectual Property

Content and materials on Kokoro, including text, graphics, logos, and AI-generated conversations, are protected by intellectual property laws.

7.1 Output Content Ownership

Content you generate through AI interactions ("Output Content") belongs to you for permitted uses under Section 8.

7.2 Input Content License

By submitting content to our service ("Input Content"), you grant Kokoro a limited, non-exclusive license solely for providing the service. We will not use your Input Content for AI model training without your explicit consent.

7.3 Third-Party AI Models

Our service is powered by MiniMax M2.7. Output quality may be influenced by these providers. We do not guarantee specific output results.

7.4 AI Output Disclaimer

⚠️ AI-generated content may contain inaccuracies, incompleteness, or outdated information. Do not use AI outputs for legal, medical, financial, or other professional advice. Verify with qualified professionals before acting on AI content.

8. Acceptable Use

You agree NOT to use our services to:

• Generate illegal, defamatory, harassing, or fraudulent content
• Create, distribute, or assist in producing deepfake content (AI-generated audio, video, or images impersonating real individuals)
• Generate content involving the sexualization of minors or violations of child protection laws
• Create malware, phishing content, or cyberattack tools
• Infringe any third party's intellectual property or privacy rights
• Bypass or interfere with our security features
• Resell or redistribute access without prior written approval
• Comply with all applicable laws and card network rules

8.1 AI-Specific Prohibitions

In addition to the above, given our AI-powered service:

• You shall not use our inputs, outputs, model responses, or any derivative data to train, fine-tune, benchmark, or develop any AI/ML model that directly or indirectly competes with Kokoro.
• You shall not systematically scrape or collect model outputs for purposes beyond your authorized personal use.
• You shall not present AI-generated content as human-produced professional advice (e.g., from doctors, lawyers, or financial advisors).

9. Data, Privacy & Security

Your use of our service is governed by our Privacy Policy. Payment card data is processed exclusively by our PCI-DSS compliant payment processor Waffo Pancake and is not stored on our servers. Account data is retained for 90 days after cancellation, then deleted per our Privacy Policy.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR AI OUTPUT ACCURACY.

WE DO NOT GUARANTEE THAT: (i) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (ii) AI RESPONSES WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR YOUR NEEDS; (iii) ANY ERRORS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KOKORO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kokoro and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service or violation of these terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms or suspected fraud. Upon termination, your right to use the service ceases immediately. You may delete your account at any time through settings or by emailing support@kokoro.ai.

14. Billing Disputes

If you believe there is a billing error, please contact us at billing@kokoro.ai before contacting your bank. We commit to responding within 2 business days and resolving confirmed errors within 5 business days.

15. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated at least 14 days in advance via email or prominent notice. Your continued use after changes constitutes acceptance.

16. Governing Law

These Terms shall be governed by the laws of the applicable jurisdiction, without regard to conflict of law principles. For disputes, please first contact legal@kokoro.ai for informal resolution.
